"We," "us," "our," and "Provider" refer to Lorenzo Solomon, an individual operator and software developer doing business under the trade names FreshOps™, StoreIQ™, ShiftLeader™, Psyc'd Wallet™, Psycd™, 10-Day Out™, and any future product Lorenzo Solomon introduces (collectively, "the Software" or "the Services").

By accessing or using any of the Software, you ("Customer," "User," or "you") agree to be bound by these Terms of Service ("Terms"). If you are using the Software on behalf of a company or organization, you represent that you have authority to bind that organization, and "you" includes that organization.
Subject to these Terms and your timely payment of fees, Provider grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Software for your internal business operations.
You agree NOT to:
You retain all ownership rights in the data you upload, submit, or generate while using the Software ("Customer Data"). You grant Provider a limited license to host, process, transmit, and display Customer Data solely as necessary to operate and improve the Services.
Provider may use anonymized, aggregated data for analytics, model improvement, and benchmarking. Such data will not identify you or your customers individually.
The Software integrates with third-party services including, without limitation: Stripe, Plaid, Twilio, Resend, Anthropic, Cloudflare, Apple, Google, Sysco, US Foods, PFG, Square, Toast. Use of those services is governed by their own terms. Provider is not responsible for outages or changes in third-party services.
All Software, including source code, design, branding, documentation, AI prompts, training data, schemas, and underlying systems, is the exclusive intellectual property of Lorenzo Solomon, © 2026, all rights reserved. Trademarks pending. Unauthorized reproduction, reverse engineering, white-labeling, or commercial use of any concept, branding, or implementation will be pursued to the fullest extent of the law, including injunctive relief and recovery of attorney's fees.
You may cancel your subscription at any time via your Stripe customer portal or by emailing [email protected]. Provider may suspend or terminate accounts that violate these Terms. On termination, your right to use the Software ends immediately. Customer Data may be exported within 30 days of cancellation.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID PROVIDER IN THE 12 MONTHS PRECEDING THE CLAIM.
PROVIDER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
Several products (including 10-Day Out, FreshOps, StoreIQ) use AI vision models. AI output is probabilistic, not deterministic. Provider does not guarantee 100% accuracy. You are responsible for verifying AI output before acting on it, particularly for HACCP compliance, food safety, expiration dates, and financial decisions.
You agree to indemnify and hold Provider harmless from any third-party claims arising out of: (a) your use of the Software in violation of these Terms; (b) your Customer Data; (c) your violation of any law or third-party right.
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles. Any dispute shall be resolved by binding arbitration in Florence County, South Carolina, except that either party may seek injunctive relief in any court of competent jurisdiction for IP infringement.
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before taking effect. Continued use after that date constitutes acceptance.
